Terms of Service

These Terms of Service (“Terms”) govern your use of the PoorLydian mobile application (the “App”) provided by PoorLydian (“PoorLydian”, “we”, “us”). By downloading or using the App, you agree to these Terms. If you do not agree, please do not use the App.

1. What the App is

PoorLydian aggregates and presents publicly available U.S. regulatory filings — including SEC Form 13F and Form 4 disclosures — along with related public market data, for informational and educational purposes only. The App is a way to browse and explore public information; it is not a brokerage, advisory, or trading service.

2. No financial advice

Nothing in the App constitutes financial, investment, legal, tax, or other professional advice, or a recommendation, offer, or solicitation to buy or sell any security or financial instrument. You are solely responsible for your own investment decisions and should consult a qualified professional before acting. You use any information in the App entirely at your own risk.

3. Data sources and accuracy

The data in the App originates from third-party public sources, principally filings published by the U.S. Securities and Exchange Commission, and is processed and presented on an “as is” basis. Filings can be delayed, amended, incomplete, or contain errors at the source, and our processing may introduce inaccuracies or delays. We do not guarantee that any information is accurate, complete, current, or timely, and you should verify anything important against the original filings.

4. License and acceptable use

We grant you a personal, limited, non-exclusive, non-transferable, revocable license to use the App for your own non-commercial purposes, subject to these Terms. You agree not to:

• copy, scrape, resell, or redistribute the App’s content or functionality on a commercial basis;
• reverse engineer, decompile, or attempt to extract source code, except where permitted by law;
• interfere with, overload, or attempt to gain unauthorized access to the App or its backend; or
• use the App in violation of any applicable law or regulation.

5. Intellectual property

The App, including its design, software, branding, and original content, is owned by PoorLydian and protected by applicable intellectual property laws. The underlying regulatory filings are public records and are not owned by us. These Terms do not grant you any rights in the PoorLydian name or logo.

6. Third-party services

The App relies on third-party services (such as Google Firebase) and third-party data sources. Your use of the App is also subject to the applicable terms and policies of those providers, and we are not responsible for their services.

7. Disclaimer of warranties

The App is provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the App will be uninterrupted, secure, or error-free.

8. Limitation of liability

To the maximum extent permitted by applicable law, PoorLydian will not be liable for any indirect, incidental, special, consequential, or exemplary damages, or for any loss of profits, data, or investment losses, arising out of or relating to your use of (or inability to use) the App, even if we have been advised of the possibility of such damages.

9. Changes to the App and these Terms

We may modify, suspend, or discontinue the App (in whole or in part) at any time. We may also update these Terms from time to time; when we do, we will revise the “Last updated” date above. Your continued use of the App after changes take effect constitutes acceptance of the revised Terms.

10. Governing law

These Terms are governed by and construed in accordance with applicable law. Any dispute arising out of or relating to these Terms or the App will be resolved before the courts of competent jurisdiction. Nothing in these Terms limits any mandatory consumer-protection rights you may have under the law of your country of residence.
